Historically, corporations were expected to serve some public purpose as justification for the benefits and privileges they receive from the state. But since the 1970s, the view has become widespread that corporations exist solely to maximize profits and for no other purpose. While the shareholder-first doctrine was supposed to solve the agency problem, in fact it has gotten worse as corporate executives enrich themselves at the expense of shareholders. Moreover, the obsession with current share prices as the only measure of corporate success may be destroying long-term value as companies cut back on investment to raise short-term profits. Tax policies designed to raise after-tax profits have done nothing to reverse these trends.

As much as I hate to say it, Uncle Milton got this one wrong. Think about it: how many of you who worked for a mega corporation ever had a moment where you said, “Man, I really maximized shareholder profit today!”
Truth is big businesses are run by their employees, including top management, whose goal is to maximize their paycheck.
The deeper truth is there are two ways of maximizing paychecks. One is the Amazon way where you focus on keeping customers happy, which keeps money coming across the till, which ultimately makes its way into your paycheck. The second is crony capitalism, i.e., fascism, where if you pay off politicians, it doesn’t matter how pissed off your customers get; they don’t have a choice AND there are sufficient barriers to entry to prevent any future competition.
What is the impact on tax policy? What the customer-centric/job creators like Amazon need is a predictable tax system that doesn’t change based on congressional whims. The crony guys, frankly, don’t care because only shareholders pay taxes.
